Terms and Conditions
These Terms and Conditions ("Terms") govern your access to and use of the FG HR platform, websites, mobile applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
FG HR is a multi-tenant human resources management platform built for businesses operating in Qatar. The Service is provided by FG HR ("we", "us", "our") to the organization that subscribes to it ("Customer", "you", "your") and to the authorized users acting on the Customer's behalf.
1. Acceptance of Terms
By creating an account, accessing the Service, or clicking to accept these Terms, you confirm that you have read, understood, and agreed to be bound by these Terms and any policies referenced herein, including our Privacy Policy, Cookie Policy, and Refund and Cancellation Policy.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "Customer" or "you" refers to that entity.
2. Definitions
- "Account" means the registered account created by the Customer to access the Service.
- "Authorized User" means an employee, contractor, or agent of the Customer who has been granted access to the Service.
- "Customer Data" means all data, content, and information uploaded, submitted, or stored by the Customer or its Authorized Users through the Service.
- "Subscription" means the paid or trial right to access and use the Service for the term agreed.
- "Tenant" means the isolated database environment provisioned for the Customer within the Service.
3. Description of the Service
FG HR provides a cloud-based human resources management platform that includes modules for employee records, payroll processing, attendance tracking, leave management, document management, compliance tracking, asset management, announcements, employee self-service, and reporting.
The Service is provided on a software-as-a-service basis. We may add, modify, or discontinue features at our discretion, provided that no material reduction in core functionality occurs without prior notice.
4. Account Registration and Security
To use the Service, you must register an Account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your Account.
You must notify us immediately of any unauthorized access to or use of your Account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
You are responsible for ensuring that your Authorized Users comply with these Terms.
5. Subscription Plans, Fees, and Payment
Access to the Service is offered through subscription plans. Plan features, employee limits, and fees are described on our website at the time of subscription. Fees are payable in advance for the selected billing cycle (monthly or annual) unless otherwise agreed.
Payments are processed through MyFatoorah and other authorized payment providers. By providing payment information, you authorize us to charge the applicable fees to your selected payment method on each renewal date.
All fees are exclusive of any applicable taxes, levies, or duties, which are your responsibility. Fees are non-refundable except as expressly stated in our Refund and Cancellation Policy.
We may revise our fees at any time. Fee changes apply to subsequent billing cycles and will be communicated at least thirty (30) days before they take effect.
6. Free Trial
We may offer a free trial period for new Customers. During the trial, the Service is provided on an "as is" basis with no warranties.
If you do not subscribe to a paid plan before the trial ends, your Account and Customer Data may be suspended and subsequently deleted in accordance with our retention practices.
7. Customer Data
You retain all rights, title, and interest in Customer Data. You grant FG HR a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Customer Data solely as necessary to provide the Service, prevent or address technical or security issues, and comply with applicable law.
You are responsible for the accuracy, legality, and quality of Customer Data and for obtaining any necessary consents from your employees or other data subjects whose personal data is processed through the Service.
You acknowledge that the Service is intended to support, not replace, your obligations as an employer under Qatar Labour Law and other applicable regulations.
8. Acceptable Use
You agree not to use the Service in any manner that violates applicable law, infringes the rights of others, or interferes with the integrity or performance of the Service. In particular, you must not:
- Upload or transmit malware, viruses, or harmful code.
- Attempt to gain unauthorized access to any part of the Service, other Customers' data, or related systems.
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service, except to the extent permitted by applicable law.
- Use the Service to store or transmit content that is unlawful, defamatory, obscene, or that violates the privacy of any person.
- Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent.
9. Intellectual Property
The Service, including all software, content, designs, trademarks, and documentation, is owned by FG HR or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you under these Terms, no rights are transferred to you.
Feedback or suggestions you provide regarding the Service may be used by us without restriction or compensation.
10. Confidentiality
Each party may receive information that is confidential to the other. Confidential Information includes Customer Data, business plans, pricing, and any information identified as confidential or that should reasonably be understood as confidential.
Each party agrees to protect the other's Confidential Information with the same degree of care it uses to protect its own confidential information, and not less than a reasonable standard of care.
11. Service Availability and Support
We aim to provide the Service with high availability but do not guarantee uninterrupted access. Planned maintenance windows will be communicated when reasonably practicable.
Standard support is provided through our designated support channels during business hours in Qatar. Premium support may be available under separate terms.
12. Suspension and Termination
We may suspend or terminate your access to the Service if you breach these Terms, fail to pay fees when due, or use the Service in a way that risks harm to us, other Customers, or third parties.
You may cancel your Subscription at any time through your Account settings. Cancellation takes effect at the end of the then-current billing cycle, except where our Refund and Cancellation Policy provides otherwise.
Upon termination, your right to access the Service ends. We will make Customer Data available for export for a period of thirty (30) days after termination, after which it may be permanently deleted.
13. Modifications to the Service
We may modify, update, or discontinue features of the Service at our discretion. Material changes that adversely affect core functionality will be communicated in advance where reasonably practicable.
14. Warranties and Disclaimers
We warrant that the Service will perform substantially in accordance with its documentation under normal use.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
16. Indemnification
You agree to defend, indemnify, and hold harmless FG HR, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of applicable law.
17. Compliance with Laws
Each party shall comply with all applicable laws and regulations in connection with these Terms, including data protection, anti-bribery, and export control laws.
18. Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, acts of war or terrorism, civil unrest, governmental action, internet or telecommunications outages, or pandemics.
19. Modifications to the Terms
We may update these Terms from time to time. The updated Terms will be posted on our website with a revised "Last updated" date. Material changes will be communicated through the Service or by email. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Qatar, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Qatar.
21. Miscellaneous
These Terms, together with our referenced policies, constitute the entire agreement between you and FG HR regarding the Service and supersede any prior agreements on the same subject matter.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
